Legal Counsel, Product and Procurement -Your role -This position,
based in San Francisco or Dallas, is an opportunity to join our
Real Estate and Operations legal team as an attorney supporting
senior attorneys in the legal department as well members of our
global product, innovation and operations teams on product launch
and procurement matters. The successful candidate will be diligent,
self-motivated and proactive, able to handle and prioritize
time-sensitive projects in a dynamic and fast-paced environment,
and have demonstrated excellent legal skills, business judgment,
strategic thinking and the ability to work independently and in
team settings.Primarily, you will responsible for drafting,
negotiating and advising the business with respect to agreements
for data center network and services between Digital and its
strategic vendors and IT providers, intellectual property matters,
new product descriptions and terms, and other general procurement
and operations related matters internationally. -You should be able
to offer internal clients sound advice on risks, legal terms and
negotiation strategy with respect to procurement transactions for
data center operations and products including IT, network and
services. You should also be able to advise internal clients with
respect to IP and new product terms. The role anticipates the
ability to take ownership of complex transactions from a legal
perspective, with discernment to appropriately escalate legal
risks.What you'll do -
- Draft, negotiate and review agreements for data center network,
IT, and general procurement of equipment and services domestically
and internationally, including:
- Complex, multi-tiered and multi-jurisdictional master service
agreements, based on Digital's standard templates and third-party
forms.
- Consulting services agreements, Saas agreements, fiber
licensing and leasing agreements and other one time or single
location procurement agreements.
- Orders, addenda or amendments for equipment and services.
- Provide legal support to product, network and technology teams
related to design and implementation of new data center services
and support of existing data center products, including advice
regarding intellectual property matters (patent registration and IP
licensing).
- Provide legal support to global procurement and property
operations teams related to procurement of goods and services to
support data center operations.
- Support the continuous improvement of standard forms and the
development and improvement of policies and procedures for the
Legal Department.
- Help evaluate legal strategy with respect to intellectual
property management, new product implementation and general
procurement and identify and mitigate risk in the products and
procurement environment.
- Work closely with the business to streamline negotiations and
remove barriers to execution to achieve business goals while
thoughtfully balancing risk.
- Execute assigned projects, including the development and
implementation of processes, as determined by the needs of the
global Legal Department.
- Manage outside counsel effectively and efficiently, including
local counsel in foreign jurisdictions and specialized counsel.What
you'll need
- Juris Doctor from an ABA accredited law school; license in good
standing with at least one state bar (with eligibility for in-house
counsel registration if necessary)
- Minimum of 5 years of relevant substantive legal experience
(law firm and/or corporate legal department, with a preference for
some experience at an internationally recognized law firm). -
- Experience with general SaaS or technology-related service
agreements, general procurement of goods and services, and
intellectual property management strongly preferred, and experience
with data center industry preferred.
- Solid analytical, problem-solving and critical-thinking
skills.
- Comfortable with balancing multiple, competing priorities and
changes in scope/direction.
- Self-starter, with the ability to follow through on matters and
bring them to resolution in a timely and reasonable manner,
escalate issues appropriately, work well independently and
collaborate.
- Detail oriented, organized, friendly, approachable,
